These Terms of Service ("Terms") are an agreement between you and Maple Helix ("we", "us" or "our") governing your use of our website and services. By using our website or engaging us, you agree to these Terms. If we sign a separate proposal or statement of work with you, that document controls where it conflicts with these Terms.
1. Acceptance of terms
By using our website, requesting a quote or audit, or engaging us, you confirm that you are of the age of majority in your jurisdiction and have the authority to accept these Terms, including on behalf of any organization you represent.
2. Our services
Maple Helix provides web design and development, digital marketing, SEO and AI-search optimization, and related services. The scope, deliverables, timeline and price for any engagement are set out in the applicable proposal or statement of work. Free tools such as our automated website audit are provided for general information only and do not guarantee any result.
3. Engagement & payment
Quotes are valid for 30 days unless stated otherwise and may be revised if scope or requirements change. An engagement begins once you accept a proposal and pay any required deposit. Fees and payment schedules are set out in that proposal; invoices are due as stated and are exclusive of applicable taxes. Late payments may incur interest or pause work, and amounts for work already performed are generally non-refundable.
4. Your responsibilities
We rely on your cooperation to deliver effectively. You agree to provide accurate information, timely feedback and approvals, and any content or access we reasonably need, and to ensure that materials you supply are lawful and do not infringe others' rights. Delays on your side may affect timelines and costs.
5. Intellectual property
Once you have paid in full, the final deliverables are yours. We retain ownership of our pre-existing materials, tools and reusable components, and license them to you as part of your deliverables. We may feature non-confidential work in our portfolio unless you ask us in writing not to.
6. Third-party services
Our website and deliverables may use third-party platforms — such as hosting, analytics, advertising, email delivery and security services like Cloudflare Turnstile — each subject to its own terms. We are not responsible for their acts, omissions or availability. See our Privacy Policy for how these services handle data.
7. Disclaimer
The content on this website and any free tools, audits or estimates we provide are for general informational purposes only and do not constitute professional, legal, financial or business advice. You use them at your own risk.
Our website and services are provided "as is" and "as available" with reasonable skill and care, but without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the website will be uninterrupted or error-free, or that any specific marketing, SEO, ranking or revenue result will be achieved, as outcomes depend on many factors beyond our control.
8. Liability & indemnity
To the fullest extent permitted by law, Maple Helix will not be liable for any indirect, incidental, special or consequential damages, or loss of profits, revenue, data or goodwill. Our total liability for any claim will not exceed the amount you paid us for the services giving rise to it in the three months before the event. Nothing here limits liability that cannot be limited by law. You agree to indemnify Maple Helix against claims arising from your breach of these Terms, your misuse of our services, or materials you provide that infringe a third party's rights.
9. Termination & governing law
Either party may terminate an engagement as set out in the statement of work, or on reasonable written notice. We may suspend or end your access if you breach these Terms. On termination, you agree to pay for work performed up to that date, and provisions that should by their nature survive will do so. These Terms are governed by the laws of Canada and the province in which Maple Helix operates, and the courts of that province have exclusive jurisdiction, subject to any mandatory consumer-protection rights.
10. Changes & contact
We may update these Terms from time to time; the "Last updated" date above reflects the latest version, and continued use after changes means you accept them. Questions? Contact us:
